ARTICLES OF INCORPORATION

(Non-Profit)

The undersigned, in order to form a Non-Profit Corporation under the

provisions of Title 30, Chapter 3, Idaho Code, submits the following

Articles of Incorporation to the Secretary of State

Article 1:          The name of the corporation shall be:

Schweitzer Property Owners, Incorporated

Article 2:          The purpose for which the corporation is organized is:

1. The mutual association of Schweitzer Mountain Property Owners located within the Selkirk Recreation District as established by the State of Idaho, to promote and maintain reasonable and mutually beneficial growth and development on Schweitzer Mountain and to generally promote and maintain the mutual interests of its property owner members;
2. ‍To contract for various services on behalf of its property owner members for mutual benefit;
3. ‍To exercise any and all powers and rights exercisable by an Idaho non-profit corporation; and
4. ‍The foregoing shall be construed both as objects and powers, and the numeration thereof shall not be held to limit or restrict in any manner the general powers conferred on this corporation by the laws of the State of Idaho, all of which are hereby expressly claimed.

Article 3:          The street address of the registered office is: 520 Cedar Street, Suite A, Sandpoint, Idaho 83864, and the registered agent at such address is: Brian C. Jensen.

Article 4:          The board of directors shall consist of no fewer than three people.  The names and addresses of the initial directors are:

William S. Alexander, P. O. Box 2501, 100 Crystal Springs Road, Unit 302, Sandpoint, Idaho 83864;

Melvyn J. Bailey, 110 Crystal Court, Sandpoint, Idaho 83864;

D. Kent Lawson, 804 South Greenridge, Liberty Lake, Washington 99019.

Article 5:          The name and address of the incorporator:

William S. Alexander, P. O. Box 2501, 100 Crystal Springs Road, Unit 302,

Sandpoint, Idaho 83864.

Article 6:          The mailing address of the corporation shall be:

Schweitzer Property Owners, Inc., c/o Brian C. Jensen, CPA, P. O. Box 773, Sandpoint, Idaho 83864.

Article 7:          The corporation does have voting members.

 Article 8:          Upon dissolution the assets shall be distributed:

The assets of the corporation shall be distributed to the Selkirk Recreation District to support its recreational purposes after first paying all the obligations of the corporation, including the expenses of dissolution.
